Terms & Conditions
These Terms & Conditions ("Terms") govern your access to and use of the website bytepos.com (the "Site") and any related services, demos, quotes, and communications offered by BytePos ("BytePos," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
1. About BytePos
BytePos is an authorized reseller of point-of-sale ("POS") hardware, software, and related solutions. We help businesses evaluate, purchase, and implement POS systems, including products and services provided by third-party manufacturers, software providers, and payment processors.
The Site provides information about these products, allows you to request demos and quotes, and lets you contact us. BytePos is not the manufacturer or developer of the third-party POS software or payment processing platforms we resell.
2. Eligibility
The Site is intended for businesses and for individuals who are at least 18 years old and able to enter into a binding agreement. By using the Site, you represent that you meet these requirements and that any information you provide is accurate and complete.
3. Quotes, Demos, and No Obligation
Any pricing, quotes, or product information presented on the Site or in response to your request is for informational purposes only and does not constitute a binding offer.
- Quotes are estimates and may change based on your specific configuration, hardware availability, third-party pricing, and applicable taxes or fees.
- Requesting a demo or quote does not create any obligation for you to purchase, or for BytePos to provide, any product or service.
- Final pricing and terms of any purchase will be set out in a separate order form, invoice, or service agreement.
4. Third-Party Products, Software, and Payment Processing
The POS hardware, software, and payment processing services we resell are provided by third parties. Your use of those products and services is governed by the separate terms, licenses, and agreements of the applicable manufacturer, software provider, or payment processor.
- BytePos does not control and is not responsible for third-party products, their performance, availability, updates, or support, except as expressly agreed in a separate written agreement.
- Payment card processing, settlement, and related compliance (including PCI DSS obligations for cardholder data) are handled by the applicable payment processor under its own agreement with you.
- You are responsible for reviewing and complying with all applicable third-party terms.
5. Acceptable Use
When using the Site, you agree not to:
- Use the Site for any unlawful, fraudulent, or harmful purpose.
- Attempt to gain unauthorized access to the Site, its servers, or related systems.
- Interfere with or disrupt the integrity or performance of the Site.
- Introduce viruses, malware, or other harmful code.
- Copy, scrape, reproduce, or distribute Site content without our permission.
- Submit false, misleading, or another person's information without authorization.
6. Intellectual Property
The Site and its content — including text, graphics, logos, layouts, and the BytePos name and brand — are owned by BytePos or its licensors and are protected by intellectual property laws. You may not use, copy, or reproduce them without our prior written consent.
All other product names, logos, and trademarks referenced on the Site (including those of POS software providers and payment processors) are the property of their respective owners and are used for identification purposes only. Their use does not imply any affiliation or endorsement beyond an authorized reseller relationship where applicable.
7. Third-Party Links
The Site may contain links to third-party websites or resources. We provide these links for convenience only and do not endorse or assume responsibility for the content, products, or practices of any third-party site. Accessing third-party sites is at your own risk and subject to their terms and policies.
8. Privacy
Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Site, you consent to the practices described in that policy.
9. Disclaimer of Warranties
The site and all content, products, and services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, bytepos disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the site will be uninterrupted, error-free, secure, or free of harmful components, or that any product will meet your requirements.
10. Limitation of Liability
To the fullest extent permitted by law, bytepos and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to your use of the site, even if advised of the possibility of such damages. Bytepos's total aggregate liability for any claim related to the site will not exceed one hundred u.s. dollars (us$100), or the amount you paid to bytepos directly for the relevant service in the twelve (12) months preceding the claim, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless BytePos and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or the rights of a third party.
12. Modifications
We may modify these Terms or the Site at any time. Updated Terms will be posted on this page with a revised "Effective Date." Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms. We may also modify, suspend, or discontinue any part of the Site without notice.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of [INSERT STATE, e.g. Texas], United States, without regard to its conflict-of-law principles. Any dispute arising out of or related to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in [INSERT COUNTY/STATE], and you consent to personal jurisdiction in those courts.
[OPTIONAL — ARBITRATION: If you prefer to require arbitration instead of court litigation, replace the paragraph above with an arbitration clause. This is common in the U.S. but should be drafted with a lawyer.]
14. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and any separate written agreement governing a purchase, constitute the entire agreement between you and BytePos regarding the Site. Our failure to enforce any provision is not a waiver of that provision.
